These Terms of Service govern your access to and use of Telixus.Co, including the web dashboard, API gateway, API keys, billing features, payment features, usage records, and related services.

By creating an account, signing in, generating an API key, purchasing credits or subscriptions, or using any Telixus.Co API endpoint, you agree to these Terms.

1. Service Description

Telixus.Co provides an AI API gateway and management platform that helps users access supported upstream AI model providers through Telixus.Co-issued API keys. The Platform may include:

• OpenAI-compatible API endpoints
• Anthropic, OpenAI, Google Gemini, Codex, Sora, and other supported model routing
• user accounts, projects, API keys, groups, quotas, and rate limits
• balance top-up, usage billing, payment order management, and usage reporting
• routing, monitoring, fallback, and administrative tools.

Telixus.Co is not itself the creator of all upstream models. Responses may be generated by third-party upstream providers subject to their own terms, policies, availability, rate limits, supported regions, and safety systems.

2. Eligibility and Account Registration

You may use the Platform only if you can lawfully enter into these Terms and lawfully use AI services in your jurisdiction.

You agree to provide accurate account information, keep your login credentials secure, and promptly update information that becomes inaccurate. You are responsible for all activity under your account and all API keys created under your account.

We may refuse registration, suspend accounts, or restrict access where required for security, fraud prevention, sanctions compliance, payment risk, upstream provider restrictions, or legal compliance.

3. API Keys and Security

API keys are credentials. You must keep them confidential.

You must not:

• share API keys publicly
• embed API keys in client-side code, public repositories, mobile apps, or browser-distributed software without adequate protection
• sell, lease, sublicense, or transfer API keys without written permission
• use API keys to operate an unauthorized public relay, proxy, or resale service
• attempt to bypass authentication, rate limits, billing, model restrictions, region restrictions, or risk controls.

If you suspect that an API key has been exposed, you must immediately disable or rotate the key. You remain responsible for usage incurred before the key is disabled, except where prohibited by applicable law.

4. Acceptable Use

You agree not to use the Platform to create, transmit, facilitate, or support unlawful, harmful, abusive, deceptive, or infringing activity.

Prohibited activity includes, without limitation:

• violating applicable law or third-party rights
• generating malware, credential theft tools, phishing content, spam, or instructions for cyber abuse
• attempting unauthorized access to systems, accounts, networks, or data
• generating or distributing illegal sexual content, sexual content involving minors, non-consensual intimate content, or exploitative content
• producing targeted harassment, threats, extortion, or instructions for physical harm
• evading sanctions, export controls, geographic restrictions, age restrictions, identity checks, payment controls, or upstream provider controls
• submitting data you do not have rights or authorization to process
• interfering with the Platform, upstream providers, payment providers, or other users
• abusing promotions, refunds, payment disputes, chargebacks, or free credits
• using the Platform in a way that violates the acceptable use policies or terms of upstream providers.

We may apply automated or manual risk controls, including rate limiting, model restriction, key suspension, account suspension, balance hold, manual review, or termination.

5. Upstream Provider Terms

Your requests may be processed by third-party upstream providers. You are responsible for ensuring that your use complies with the applicable upstream provider terms, including supported country or region rules, usage policies, model restrictions, account restrictions, and commercial-use requirements.

Telixus.Co does not guarantee that any upstream provider will accept, process, or continue supporting any request, model, region, account type, payment method, or use case.

Upstream provider outages, rate limits, account restrictions, policy enforcement, or model changes may affect availability, latency, price, output quality, and supported features.

6. Billing, Balance, Credits, and Usage

The Platform may charge based on usage, including input tokens, output tokens, cached tokens, images, requests, subscriptions, or other metered units.

Your dashboard may show available balance, usage, rate multipliers, order status, API key usage, and billing records. Usage records are calculated using system measurements, upstream usage data where available, and platform pricing rules.

You agree that:

• API calls may require sufficient balance before processing
• estimated holds may be placed before or during requests
• actual charges may be captured after usage is known
• if final upstream usage is unavailable, the Platform may estimate usage and later reconcile it
• prices, models, multipliers, fees, and supported payment methods may change prospectively
• historical billing records should not be recalculated solely because a future price changes.

You are responsible for reviewing your dashboard and promptly reporting billing concerns.

7. Payments, Refunds, and Chargebacks

Payments may be processed by third-party payment providers such as Stripe, Airwallex, Alipay, WeChat Pay, EasyPay-compatible providers, or other supported providers.

Telixus.Co does not store full card numbers or CVV codes. Payment provider terms and privacy notices also apply to your payment transaction.

Unless required by law or expressly stated in a written refund policy:

• completed balance top-ups are generally non-refundable
• partially used credits may not be refundable
• subscription purchases may be non-refundable once activated
• fees charged by payment providers, banks, or currency conversion providers may be non-refundable.

If you initiate a chargeback or payment dispute without first contacting support, we may suspend the related account, API keys, balance, or services while the matter is investigated. Fraudulent chargebacks or payment abuse may result in account termination.

8. Taxes

Prices may exclude taxes unless expressly stated otherwise. You are responsible for any applicable taxes, duties, levies, or similar governmental charges associated with your purchases or use of the Platform, except for taxes based on Telixus.Co's income.

9. AI Outputs and User Responsibility

AI outputs may be inaccurate, incomplete, offensive, unsafe, outdated, or unsuitable for your purpose. You are responsible for evaluating outputs before relying on them.

You must not rely on AI outputs as the sole basis for legal, medical, financial, safety-critical, employment, credit, housing, insurance, or other high-impact decisions without qualified human review and any legally required safeguards.

You are responsible for your prompts, inputs, files, instructions, API usage, downstream applications, and decisions made using outputs.

10. Data, Logs, and Privacy

Our collection and use of personal data is described in the Privacy Policy.

To operate the Platform, we may process account information, API metadata, billing records, payment records, security logs, abuse signals, and limited request/response data where necessary or enabled.

Prompt and response content logging is disabled by default where the Platform is configured that way. However, content may still be transmitted to upstream providers as necessary to process your API request. You should not submit sensitive personal data, regulated data, trade secrets, or confidential third-party data unless you have authority and appropriate safeguards.

11. Service Availability and Changes

The Platform is provided on an as-available basis. We may modify, suspend, limit, or discontinue features, models, routes, providers, payment methods, or accounts at any time for operational, security, legal, payment, or upstream-provider reasons.

We may perform maintenance or emergency changes without prior notice where necessary. We are not responsible for upstream provider outages, third-party payment failures, network issues, force majeure events, or circumstances beyond our reasonable control.

12. Suspension and Termination

We may suspend or terminate your account, API keys, access, balance usage, or specific features if we reasonably believe that:

• you violated these Terms
• your use creates legal, security, payment, abuse, or upstream-provider risk
• your payment is disputed, reversed, fraudulent, or unauthorized
• your account is compromised
• suspension is required by law, court order, sanctions, payment provider requirement, or upstream provider requirement.

You may stop using the Platform at any time. Account deletion requests may be subject to retention obligations for billing, tax, fraud prevention, dispute handling, security, and legal compliance.

13. Intellectual Property

Telixus.Co and its software, interfaces, logos, designs, documentation, and platform materials are owned by Telixus.Co or its licensors and are protected by applicable intellectual property laws.

You retain rights you have in your inputs. Subject to upstream provider terms and applicable law, rights in AI outputs may depend on the model provider, account type, and use case. You are responsible for ensuring you have rights to use, publish, or commercialize outputs.

14. Confidentiality

You must not disclose non-public information about the Platform, internal pricing, routing, upstream accounts, security controls, or administrative features except as permitted by Telixus.Co in writing or as required by law.

15. Disclaimers

To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or uninterrupted operation.

16. Limitation of Liability

To the maximum extent permitted by law, Telixus.Co will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business opportunity, revenue, or anticipated savings.

To the maximum extent permitted by law, Telixus.Co's aggregate liability for all claims relating to the Platform will not exceed the amount you paid to Telixus.Co for the affected service during the three months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

17. Indemnity

You agree to indemnify and hold harmless Telixus.Co from claims, damages, liabilities, penalties, costs, and expenses arising from your use of the Platform, your applications, your content, your violation of these Terms, your violation of law, your violation of upstream provider terms, or your infringement of third-party rights.

18. Governing Law and Disputes

Unless mandatory law provides otherwise, these Terms are governed by the laws of Singapore. The parties will first attempt to resolve disputes in good faith through support contact. If unresolved, disputes may be submitted to the competent courts of Singapore, unless applicable consumer protection law gives you mandatory rights in another jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. The effective date will be updated when changes are made. Continued use of the Platform after changes become effective means you accept the updated Terms.
